Join our international Offshore Wind team as Legal Counsel for Board Office & Corporate Law. Provide legal support on corporate law matters, corporate housekeeping, and entity management, and support corporate transactions, including M&A projects and joint ventures. Work closely with colleagues across the global Offshore Legal Team to deliver practical, business-oriented legal advice for our international Offshore Wind business.
About the role
- Provide legal advice and support on day-to-day corporate law matters across the international Offshore Wind business, including corporate housekeeping, entity management, corporate approvals, and board and shareholder documentation.
- Support corporate transactions, including M&A projects, joint ventures, restructurings, and other corporate development initiatives by assisting with due diligence, transaction documentation, signing and closing processes, and post-closing implementation.
- Support the development and use of AI-enabled tools across all corporate law and transaction workstreams, including due diligence, document review, issue spotting, entity management, corporate approvals, workstream tracking, and the preparation of legal input.
- Work closely with legal, finance, tax, commercial, development, and project teams to provide practical legal support for corporate workstreams and transactions in an international environment.
- Coordinate internal approval processes and contribute to the preparation of clear, accurate, and timely legal input for corporate decisions and transaction milestones.
- Assist in maintaining corporate records, monitoring recurring corporate obligations, and ensuring consistent handling of entity management matters across relevant jurisdictions.
- Support the instruction and coordination of external legal advisors, ensuring efficient, high-quality, and cost-conscious legal support.
- Contribute to the continuous improvement of corporate processes, templates, and ways of working, including the practical and responsible use of legal technology and AI to improve efficiency, consistency, and quality in corporate law and transaction-related matters.
Job requirements and experience
- German law degree and eligibility for admission as a (Syndikus-)Rechtsanwalt.
- Relevant working experience (1-3 years) in corporate law, corporate housekeeping, entity management, and/or transaction support gained at an international law firm or company.
- Confidence and a proven track record in using digital tools, including legal technology and AI-enabled tools, and developing and implementing practical use cases to support corporate, M&A and JV workstreams.
- Comfortable handling multiple tasks, taking on new responsibilities, and setting priorities in a deadline-intensive environment.
- Strong commercial, technical, and strategic acumen, with solid analytical skills.
- Solution-oriented mindset with the ability to identify practical legal and business solutions and escalate complex matters appropriately.
- Strong customer orientation and a high level of engagement and flexibility.
- Ability to work and communicate professionally and accurately in a time-sensitive setting.
- Enthusiasm for working in an international team and openness to occasional travel.
Advantageous, but not essential
- Experience in renewables, infrastructure, supporting M&A transactions, joint ventures, corporate restructurings or similar corporate projects.
- Ability to conduct negotiations in an additional EU language.
