RWE Offshore Wind – Legal Counsel/Assistant General Counsel (dependent on experience)

Either a physical presence in RWE’s Offshore Wind headquarters in the U.S. (Boston) or a willingness to travel to this location at least one week per month (and otherwise as required to suit the business needs)

 

 

We are looking for an experienced, self-motivated, and confident Legal Counsel/Assistant General Counsel (dependent on experience) to support RWE’s fast-growing U.S. Offshore Wind business, working within the Construction and Procurement Law team and in collaboration with the other U.S. Offshore Wind legal team members.

As a Legal Counsel/Assistant General Counsel within the global Construction & Procurement Law team, you will work alongside other members of the RWE Offshore Wind legal team and closely cooperate with other departments to deliver holistic and streamlined legal support to RWE’s U.S. Offshore Wind business. The qualified candidate will be the second permanent Construction and Procurement lawyer based within the RWE Offshore Wind team in the U.S., working alongside a small team of other U.S. based lawyers supporting wider corporate and regulatory matters.  The selected candidate will join a compact group of U.S.-based legal professionals and should also be prepared to assist with a variety of legal issues related to RWE’s U.S. Offshore Wind business, as the need arises, beyond the realms of procurement, construction, and operation.

 

Day-to-day responsibilities will include:

  • providing legal support for procurement, construction, and operation activities of RWE’s Offshore Wind business primarily in the U.S. but also internationally, as required
  • advising on, developing, drafting, and negotiating of all types of construction and procurement contracts required for the full life cycle of RWE’s Offshore Wind business, including turbine supply agreements, foundation contracts, EPC(I) & turnkey contracts, purchase agreements for components, service agreements, and contracts for maritime logistics while being a project’s first point of contact, working closely with the Procurement team, in providing legal advice and coordinating specialized in-house and external legal advice in a cost and work efficient manner, including budget planning and monitoring
  • keeping oversight of all legal matters relating to projects in your remit and advising senior management about all related legal risks, including claims and disputes, providing legal support (including liaising with external counsel) in relation to any disputes arising out of negotiated contracts while demonstrating the ability to apply a practical rather than theoretical focus to legal issues with a view to finding viable business solutions
  • driving standardization and process improvement initiatives as required and at times developing non-standard, customized solutions when needed to address complex project challenges
  • establishing and nurturing effective cross-functional and cross-cultural working relationships with legal and business colleagues in the wider RWE group
  • working to negotiate and enforce contracts on behalf of joint venture entities to which RWE is a member, including coordination with attorneys of RWE’s JV partners
  • good working knowledge of international construction and procurement law standard forms (e.g., FIDIC, BIMCO etc.) and experience of working on large scale, high value infrastructure projects (renewables experience would be beneficial but is not a pre-requisite)
  • close alignment and cooperation with other members of RWE’s Offshore Wind within Procurement, Tax, Accounting, Insurance, Credit/Risk, Treasury, Finance, Construction and Procurement Law legal team, as well as with the wider RWE Offshore Wind legal team, based in locations across Europe and the APAC region; foreign travel will sometimes be necessary

 

Skills and Experience

  • Qualified as a lawyer in the US; preferred jurisdictions include New York, Massachusetts and California, but other states are also potentially acceptable
  • Minimum of 5 years of work experience as a lawyer or inhouse counsel in a large law firm or company, working within either the energy sector or with a focus of working on complex international projects; the ideal candidate is likely to have between 4-7 years' experience, although all applicants will be considered on merit
  • Significant expertise working with international construction and procurement law standard form contracts (e.g., FIDIC, BIMCO, etc.), renewables experience (and offshore wind experience in particular) would be beneficial but is not a pre-requisite
  • Commercial and technical understanding of large industrial projects and a good understanding how to best support them from the legal point of view
  • Comprehensive organizational, analytical, and communication skills and a solution-oriented and positive mindset
  • A high level of engagement, a strong team contributor, and ability to work both individually and as part of a wider cross-functional team
  • Enjoys working in an team oriented, hard-working, international team and open to some work-related travel
